1. Agreement to Terms
By accessing or using the services provided by Auditios LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Provided
Auditios LLC provides the following services:
- Web development and application development
- Google Ads management and digital marketing
- Technical integrations and automation
- Website maintenance and support
- Related consulting services
Specific services, deliverables, timelines, and pricing will be outlined in individual project agreements or statements of work.
3. Mobile Applications
License Grant
Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use our mobile applications for personal or internal business purposes. This license does not include the right to:
- Modify, reverse engineer, or create derivative works of the app
- Distribute, sublicense, or transfer the app to third parties
- Remove or alter any proprietary notices
- Use the app for any unlawful purpose
App Store Terms
If you download our mobile applications from the Apple App Store, you acknowledge and agree that:
- These terms are between you and Auditios LLC, not Apple
- Apple has no obligation to provide maintenance or support for the app
- Apple is not responsible for addressing any claims relating to the app
- Apple and its subsidiaries are third-party beneficiaries of these terms
- You must comply with Apple's terms of service and usage rules
In-App Purchases
Our mobile applications may offer in-app purchases for additional features or content. All purchases are processed through the respective app store (Apple App Store). Payment is handled by the app store, and their terms apply. We do not offer refunds for in-app purchases; refund requests must be made through the app store.
App Updates and Availability
We may update our mobile applications from time to time. Updates may include new features, bug fixes, or security improvements. We are not obligated to provide updates indefinitely and may discontinue the app at any time. We do not guarantee that the app will be available in all countries or that it will be compatible with all devices.
User Accounts
If the app requires account creation:
- You must provide accurate and complete registration information
- You are responsible for maintaining account security
- You must notify us immediately of unauthorized access
- You may request account deletion at any time
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information required for project completion
- Respond to requests for feedback and approvals in a timely manner
- Provide necessary access to accounts, platforms, and systems as needed
- Pay all fees according to agreed-upon terms
- Comply with all applicable laws and regulations in your use of our services
- Hold valid rights to any content, assets, or materials you provide to us
5. Payment Terms
Payment terms will be specified in individual project agreements. Generally:
- Payment is due according to the schedule outlined in your project agreement
- Late payments may incur additional fees or suspension of services
- All fees are in U.S. dollars unless otherwise specified
- Refund policies, if applicable, will be detailed in your project agreement
- You are responsible for any applicable taxes
6. Intellectual Property
Client-Provided Materials
You retain ownership of all content, data, and materials you provide to us. By providing materials, you grant us a license to use them for the purpose of delivering our services.
Work Product
Upon full payment, you will own the final deliverables created specifically for your project (custom code, designs, content). This does not include:
- Pre-existing materials, tools, or frameworks we use
- Third-party software, plugins, or services
- Our methodologies, processes, or business practices
- Any materials developed before the project or for other clients
Our Intellectual Property
All rights to our business name, branding, methodologies, and proprietary processes remain our property.
7. Confidentiality
We will maintain the confidentiality of any proprietary or sensitive information you share with us in the course of providing services. We will not disclose such information to third parties without your consent, except as required by law or to deliver services (e.g., to third-party service providers under appropriate confidentiality obligations).
8. Third-Party Services
Our services may integrate with or rely on third-party platforms, tools, and services (e.g., hosting providers, payment processors, advertising platforms). We are not responsible for the availability, functionality, or terms of these third-party services.
9. Warranties and Disclaimers
We will perform services in a professional manner consistent with industry standards. However:
- Services are provided "as is" without warranties of any kind
- We do not guarantee specific results or outcomes (e.g., traffic, sales, rankings)
- We are not responsible for issues caused by third-party services or platforms
- We do not warrant that services will be uninterrupted or error-free
10. Limitation of Liability
To the maximum extent permitted by law, Auditios LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use or inability to use our services
- Any unauthorized access to or use of our servers or any personal information
- Any interruption or cessation of services
- Any third-party services or content
Our total liability for any claims arising from or related to our services shall not exceed the amount you paid us for the specific services giving rise to the claim.
11. Termination
Either party may terminate a project or service agreement according to the terms specified in that agreement. Generally:
- Termination must be provided in writing
- You remain responsible for payment for work completed up to termination
- Upon termination, we will provide deliverables completed to that point
- We may terminate services immediately if you breach these terms
12. Portfolio and Marketing Use
Unless you explicitly request otherwise, we reserve the right to:
- Display completed work in our portfolio
- List you as a client (with your permission)
- Use project details as case studies or testimonials (with your approval)
13. Indemnification
You agree to indemnify and hold harmless Auditios LLC from any claims, damages, losses, or expenses arising from:
- Your use of our services
- Your violation of these terms
- Content or materials you provide to us
- Your violation of any third-party rights
14. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved in the courts of New York.
15. Changes to Terms
We reserve the right to modify these Terms of Service at any time. We will notify clients of any material changes. Your continued use of our services after changes constitutes acceptance of the modified terms.
16. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
17. Entire Agreement
These Terms of Service, together with any project-specific agreements, constitute the entire agreement between you and Auditios LLC regarding our services.
